Terms that reflect how Wodby actually works

These terms explain the commercial and operational rules for using Wodby, including customer-owned infrastructure, Wodby Cloud, support tiers, usage-based billing, data processing, and offboarding.

Overview and contract structure

These terms govern use of the website, platform, support, and hosted offerings that reference them.

These Terms of Service form a binding agreement between you and Wodby Inc. and apply when you access our website, create an account, place an order, use the Wodby platform, request support, or use any related hosted or managed offering that references these terms.

If you use the services on behalf of a company or other legal entity, you confirm that you have authority to bind that entity. If you do not agree to these terms, do not use the services.

The agreement may also include an order form, pricing page, support policy, SLA, Data Processing Agreement, and other service-specific documents referenced by these terms. If there is a conflict, the order form controls over these public terms for the specific service purchased.

Service models and product scope

Wodby supports customer-owned infrastructure and Wodby-managed infrastructure through Wodby Cloud.

Wodby provides software and operational tooling for deploying, building, managing, and supporting application stacks on Kubernetes and related infrastructure. The service can operate in more than one model:

  • Bring your own infrastructure: you connect your own managed Kubernetes account, dedicated server, or K3s environment, and Wodby manages the application layer and related automations.
  • Wodby Cloud: Wodby provisions and manages the underlying cluster layer as part of a hosted infrastructure option billed through compute credits and other applicable usage metrics.

Your purchased plan determines the included features, limits, support level, and whether features such as Wodby Cloud, Wodby CI, private registry storage, backups, imports, premium support, or negotiated SLA terms are available.

Accounts, access, and security

You are responsible for your account, authorized users, and protection of credentials and secrets.

You must provide accurate registration, billing, and contact information and keep it current. You are responsible for activity under your account, including actions taken by employees, contractors, and other authorized users.

You must use reasonable security measures, including strong passwords, role-based access controls, and secure handling of API keys, cloud credentials, deployment secrets, and registry tokens. Notify us promptly at [email protected] if you suspect unauthorized access or a security incident affecting the services.

Support, maintenance, and SLA

Support commitments depend on plan level; public marketing references to support and SLA do not create a blanket enterprise commitment for all users.

Wodby offers community, best-effort, premium, and custom support levels depending on the plan purchased. Support is provided according to our support workflow and any service-specific commitments stated in the applicable plan, order form, or published support documentation.

Enterprise SLA commitments apply only where expressly included in a written order, enterprise support exhibit, or other written commitment from Wodby. Free and lower-tier plans may not include any uptime guarantee, response-time commitment, or service credit regime.

We may perform scheduled maintenance, emergency maintenance, security changes, and dependency updates when needed to operate or protect the services.

Fees, renewals, and usage-based billing

Subscriptions can include recurring fees, usage-based fees, add-ons, and infrastructure charges depending on the service model.

You agree to pay all fees associated with your selected plan, metered usage, add-ons, applicable taxes, and any optional services purchased. Subscription fees are billed in advance unless your order states otherwise.

Pricing may include app-service based billing, compute credits, storage, CI minutes, registry usage, or other usage metrics disclosed in the applicable pricing page, order form, or billing interface. You are responsible for charges generated by your workloads, users, automations, and connected resources.

Paid subscriptions renew automatically for successive billing periods unless cancelled before the next renewal date. Charges already paid are non-refundable except where required by law or expressly stated by Wodby. We may suspend access for overdue invoices or failed payment methods.

Acceptable use

You may not use the services unlawfully, abusively, or in a way that interferes with other customers or Wodby systems.

  • Use the services only in compliance with applicable laws, regulations, sanctions, export controls, and third-party terms that apply to your workloads and connected infrastructure.
  • Do not attempt to reverse engineer, copy, resell, exploit, or build a competing service from non-public parts of the platform or related software.
  • Do not introduce malware, misuse support channels, perform abusive scanning, overload shared systems, or attempt to gain unauthorized access to Wodby systems or other customers' environments.

Your applications, content, and infrastructure

You keep ownership of your applications and data, while granting Wodby limited operational rights needed to deliver the services.

You retain all rights in the code, databases, content, configurations, and other materials you submit to or manage through the services. You grant Wodby a limited, non-exclusive right to host, process, transmit, back up, monitor, and otherwise handle that material solely to deliver the services, provide support, maintain security, improve reliability, and comply with law.

If you connect your own cloud accounts, servers, or clusters, you confirm that you are authorized to do so and may grant us the access needed to provision, monitor, troubleshoot, and operate the services you selected. You remain responsible for the legality, integrity, backup, and recovery of your workloads and data unless an express managed service commitment says otherwise.

We may remove, suspend, or restrict content or workloads that violate these terms, threaten security or stability, or expose Wodby or others to legal or operational risk.

Privacy, data processing, and GDPR

Wodby acts in different roles depending on the context, and customer personal data processing is governed by the DPA where applicable.

Our Privacy Policy explains how we handle account information, website usage data, support communications, and other personal information for which Wodby acts as controller or otherwise has direct legal obligations.

To the extent Wodby processes personal data on your behalf in connection with the services, the Data Processing Agreement applies and forms part of the contract for the relevant services. You remain responsible for your legal basis, notices, instructions, and compliance obligations as controller or business, as applicable.

You should not use the services for regulated or special-category data that requires enhanced contractual, security, or compliance commitments unless the relevant plan, documentation, and written agreement expressly support that use case.

Third-party services, open standards, and portability

Wodby integrates with third-party services and supports customer portability, but third-party components remain subject to their own terms.

The services may connect to third-party cloud providers, registries, databases, email providers, CI systems, observability tools, and other integrations. Your use of those third-party services is subject to the terms and policies of the relevant provider.

Wodby is built around Kubernetes and other open technologies. If you stop using Wodby, your applications and connected infrastructure may remain operable, but Wodby-managed functions such as hosted control plane features, Wodby CI, Wodby-specific cron configuration, backup orchestration, certificate automation, or Wodby Cloud operational management may stop.

Suspension, termination, and offboarding

Termination affects access, support, hosted tooling, backups, temporary imports, and Wodby-managed infrastructure features.

You may stop using the services at any time and may cancel renewal of paid subscriptions through your billing settings or as otherwise described in your order. Termination does not erase obligations that arose before termination, including unpaid fees.

We may suspend or terminate access immediately if necessary to prevent harm, investigate abuse, comply with law, address material breach, or respond to a security or payment issue. Where practical, we will provide notice and an opportunity to cure.

After termination, access to the platform may end and Wodby may delete or disable temporary imports, backups, registry artifacts, logs, hosted automation state, and Wodby Cloud resources in line with our operational retention periods, your instructions, and legal obligations. Customers should export or transfer needed data before termination.

Confidentiality

Each party must protect confidential information disclosed by the other in connection with the services.

Each party will protect the other party's confidential information using reasonable safeguards and will use it only to perform or receive the services, exercise contractual rights, or comply with law.

Confidential information does not include information that is public through no fault of the receiving party, independently developed without use of the disclosing party's confidential information, or lawfully received from a third party without confidentiality restriction.

Disclaimers, limitation of liability, and indemnity

The services are provided on an as-available basis, and your remedies are limited to the extent permitted by law.

To the maximum extent permitted by law, the services are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, Wodby will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business interruption. Wodby's total liability for claims arising out of or related to the services will not exceed the fees you paid to Wodby for the affected services during the 12 months before the event giving rise to the claim.

You agree to indemnify Wodby against third-party claims arising from your content, your infrastructure, your unlawful use of the services, or your breach of these terms.

Updates, notices, and general terms

These terms can be updated prospectively, and some provisions continue after termination.

We may revise these terms by posting an updated version on this page. Material changes apply prospectively from the effective date shown above. Continued use of the services after that date means you accept the revised terms.

If any provision of these terms is found unenforceable, the remainder will stay in effect. Provisions that by their nature should survive termination, including payment obligations, confidentiality, intellectual property, disclaimers, limitations of liability, indemnity, and data handling obligations, will survive.
